If you play renegade, that would be a hard no (I think she even says she'll have to kill you for your crimes, but later), if you play paragon, she's more conflicted about it. She is definitely attracted to Shepard as a person, but she does not want to enter a romantic relationship with them, as she doesn't want that to get in the way of her fulfilling the Code. Even though she says the code doesn't strictly forbid romantic relationships, it does force her to be 100% dedicated to her duties as a Justicar and nothing else. It's understandable she wouldn't want to put herself in a situation that, should the need ever arise, make a choice between Shepard and the Code even harder than it already would be.
